Wholesale Graphene Membership Programme

 

Membership Terms & Conditions

Effective Date: July 2026

 

These Membership Terms and Conditions ("Agreement") govern participation in the Wholesale Graphene Membership Programme ("Membership Programme") operated by Wholesale Graphene ("Company", "Wholesale Graphene", "we", "our", or "us").

By submitting a Membership application, accepting Membership, accessing Membership benefits, or making payment of Membership fees, the Member agrees to be bound by these Terms and Conditions.

 

1. Purpose of Membership

The Wholesale Graphene Membership Programme has been created to support businesses, manufacturers, research organisations, universities, investors and commercial partners seeking to develop, manufacture, market or distribute graphene-enhanced products.

 

Membership provides access to technical expertise, dedicated support resources, market intelligence, research activities, commercial guidance, business development opportunities and potential partnership opportunities according to the Membership Tier selected.

 

Membership does not create a partnership, agency relationship, franchise, employment relationship, licence agreement or joint venture unless separately agreed in writing.

2. Membership Tiers

Wholesale Graphene offers three Membership categories:

 

Tier 1 – Strategic Partner Membership

Designed for organisations requiring the highest level of technical support, product development assistance, commercial collaboration, dedicated research resources and strategic partnership opportunities.

 

Tier 2 – Commercial Development Partner Membership

Designed for organisations developing graphene-enhanced products requiring technical guidance, market evaluation, research support and commercial development assistance.

 

Tier 3 – Industry & Research Membership

Designed for organisations seeking graphene industry knowledge, research updates, market intelligence and access to the Wholesale Graphene partner network.

Membership benefits vary according to the selected Membership Tier.

3. Membership Application

Membership is available by application only.

Wholesale Graphene reserves the right to:

  • approve or reject applications;

  • request additional information;

  • conduct commercial due diligence;

  • limit Membership availability;

  • refuse Membership without providing reasons.

Membership begins once the application has been approved and payment terms have been accepted.

4. Eligibility

Members must:

  • operate as a legitimate business, organisation, institution or approved individual;

  • provide accurate information;

  • comply with applicable laws and regulations;

  • maintain professional business conduct;

  • protect confidential information received through Membership.

5. Membership Fees

Membership fees are payable in advance using one of the following payment options:

  • Monthly payment by Direct Debit

  • Semi-Annual payment (six months paid in advance)

  • Annual payment (twelve months paid in advance)

​

Membership fees are determined according to the selected Membership Tier.

 

Wholesale Graphene reserves the right to review Membership fees periodically and provide reasonable notice of any changes.

​

Membership benefits commence once:

  • Membership approval has been confirmed; and

  • payment has been successfully received.

​

6. Advance Payment Discounts

Members selecting advance payment options receive the following discounts:

Annual (12 months paid in advance) 20% Discount

 

Advance payment discounts apply only to Membership subscription fees unless otherwise agreed in writing.

Discounts cannot be combined with other offers unless approved by Wholesale Graphene.

7. Monthly Direct Debit Payments

Members selecting monthly payment authorise Wholesale Graphene to collect Membership fees by Direct Debit. 

Members are responsible for ensuring:

  • valid payment instructions remain active;

  • sufficient funds are available;

  • payment information remains accurate.

 

Failed payments may result in suspension of Membership benefits, support services, research activities and access to Member resources.

 

Where outstanding payments remain unpaid, Wholesale Graphene reserves the right to terminate Membership.

8. Invoicing & Payment Terms

Wholesale Graphene will issue invoices electronically to the Member's nominated email address.

Invoices are deemed received on the date they are transmitted electronically.

​

Unless otherwise agreed in writing, invoices must be paid within:

Fourteen (14) calendar days from the invoice date.

 

Failure to make payment within fourteen days may result in:

  • suspension of Membership;

  • suspension of technical support;

  • suspension of research activities;

  • suspension of reports;

  • suspension of marketing support;

  • withdrawal of Member pricing benefits;

  • cancellation of scheduled work.

 

Wholesale Graphene reserves the right to recover reasonable costs associated with overdue payments, including collection costs and legal expenses where permitted by law.

9. Taxes, VAT & Tax Relief

All Membership fees, consultancy charges, research services, marketing services and other charges are exclusive of VAT, sales tax, GST or any other applicable taxes unless expressly stated otherwise.

 

Members are responsible for all applicable taxes, duties or charges arising within their own jurisdiction.

Where a Member believes that Membership fees or related payments may qualify for:

  • tax deductions;

  • business expense treatment;

  • tax credits;

  • rebates;

  • allowances;

  • other forms of tax relief;

 

The Member accepts that responsibility for determining eligibility and making any claim rests entirely with the Member or their appointed accountant, tax adviser or financial representative.

 

The Member is responsible for:

  • obtaining independent tax advice;

  • maintaining supporting records;

  • preparing applications;

  • submitting claims to relevant authorities.

 

Wholesale Graphene:

  • does not provide tax advice;

  • does not guarantee tax deductibility;

  • does not determine tax treatment;

  • does not submit tax rebate or deduction claims on behalf of Members.

 

Any tax benefit obtained from Membership fees remains the sole responsibility of the Member.

Wholesale Graphene's responsibility is limited to issuing accurate invoices and payment records where applicable.

 

10. Membership Services

Depending upon Membership Tier, services may include:

  • graphene product access;

  • technical consultation;

  • research support;

  • product development guidance;

  • market evaluation;

  • commercial opportunity analysis;

  • partner introductions;

  • licensing discussions;

  • marketing support;

  • strategic planning.

 

11. Dedicated Member Support Hours & Resource Allocation

Wholesale Graphene recognises that Members require different levels of technical, commercial and research support.

 

Each Membership Tier includes a dedicated monthly resource allocation.

Tier 1 – Strategic Partner Membership120 hours per month

 

Tier 2 – Commercial Development Partner Membership60 hours per month

 

Tier 3 – Industry & Research Membership30 hours per month

 

Dedicated hours represent the total resource time allocated by Wholesale Graphene to support the Member.

​

12. Activities Included Within Dedicated Hours

Dedicated support hours may include:

  • graphene application research;

  • technical consultation;

  • product development discussions;

  • materials evaluation;

  • formulation assessment;

  • manufacturing reviews;

  • market research;

  • competitor analysis;

  • commercial opportunity evaluation;

  • partner identification;

  • meetings;

  • preparation of reports;

  • strategic planning;

  • technical documentation.

 

13. Recording of Work Completed

Wholesale Graphene will maintain records of activities undertaken for Members.

 

Monthly records may include:

  • total hours allocated;

  • hours utilised;

  • research completed;

  • technical activities performed;

  • meetings undertaken;

  • documentation prepared;

  • recommendations provided;

  • opportunities identified;

  • next recommended actions.

These records provide transparency regarding the time and resources dedicated to each Member.

 

14. Unused Hours

Dedicated Membership hours are allocated monthly.

 

Unless separately agreed in writing:

  • unused hours do not roll over;

  • unused hours cannot be exchanged for payment;

  • unused hours cannot be transferred;

  • unused hours expire at the end of each Membership month.

15. Additional Work Beyond Included Hours

Where Members require support beyond their included monthly allocation, additional work may be undertaken subject to:

  • resource availability;

  • written agreement;

  • additional fees where applicable.

No additional work will commence without approval.

​

16. Monthly Market Evaluation Reports

Eligible Members will receive monthly market evaluation information prepared by Wholesale Graphene.

 

Reports may include:

  • market trends;

  • competitor activity;

  • graphene application developments;

  • industry movements;

  • emerging opportunities;

  • investment activity;

  • technology developments;

  • regulatory considerations.

17. Market Gap Analysis & Recommendations

Wholesale Graphene may identify market opportunities where graphene technology could improve existing products or create new commercial opportunities.

 

Recommendations may include:

  • product opportunities;

  • sector opportunities;

  • manufacturing improvements;

  • partnership opportunities;

  • licensing opportunities;

  • commercial expansion opportunities.

Recommendations are provided as commercial guidance only.

18. Business Development, Partner Introductions & Referrals

Wholesale Graphene may introduce Members to:

  • customers;

  • manufacturers;

  • distributors;

  • suppliers;

  • investors;

  • research organisations;

  • strategic partners.

 

Introductions may originate from direct enquiries received by Wholesale Graphene, industry relationships, exhibitions, conferences and partner networks.

 

Wholesale Graphene does not guarantee that introductions will result in commercial agreements.

​

19. Marketing & Promotional Support

Where included within the Membership Tier, Wholesale Graphene may promote approved Member products through:

  • Wholesale Graphene website;

  • online advertising;

  • industry magazines;

  • trade publications;

  • newsletters;

  • exhibitions;

  • conferences;

  • trade shows;

  • webinars;

  • partner networks.

 

All promotional activity is subject to approval by Wholesale Graphene.

​

20. Product Approval & Partnership Promotion

Products promoted through Wholesale Graphene must be approved by:

  • the Member; and

  • Wholesale Graphene.

 

Joint marketing activities, partnership announcements and promotional campaigns require written approval from all relevant parties.

​

21. Confidentiality

Members may receive confidential information including:

  • technical data;

  • research information;

  • pricing;

  • manufacturing information;

  • commercial strategies;

  • intellectual property.

 

Members agree not to disclose confidential information without written approval.

​

22. Intellectual Property

All intellectual property belonging to Wholesale Graphene remains the exclusive property of Wholesale Graphene.

Membership does not transfer ownership of:

  • patents;

  • inventions;

  • processes;

  • trade secrets;

  • technical know-how;

  • proprietary information.

 

Separate written agreements are required for licensing or commercial use.

​

23. Cancellation & Termination

Members may cancel Membership by written notice.

 

Cancellation becomes effective at the end of the current paid Membership period.

​

Wholesale Graphene may terminate Membership where:

  • payments remain unpaid;

  • confidentiality is breached;

  • intellectual property is misused;

  • false information has been provided;

  • Membership benefits are abused.

​

24. Limitation of Liability

Wholesale Graphene shall not be liable for:

  • indirect losses;

  • consequential losses;

  • lost profits;

  • lost opportunities;

  • business interruption;

  • production delays.

Total liability shall not exceed Membership fees paid during the previous twelve months.

​

25. Governing Law

These Terms and Conditions shall be governed by the laws of England and Wales unless otherwise agreed in writing.

​

26. Amendments

Wholesale Graphene reserves the right to update these Terms and Conditions.

 

Updated versions become effective upon publication or written notification.

Schedule A – Tier 1 Strategic Partner Membership

Dedicated Support: 120 Hours Per Month

Includes:

  • highest level of technical support;

  • dedicated research allocation;

  • product development support;

  • market analysis;

  • monthly reports;

  • opportunity identification;

  • strategic partner introductions;

  • marketing opportunities;

  • licensing discussions.

Schedule B – Tier 2 Commercial Development Partner Membership

Dedicated Support: 60 Hours Per Month

Includes:

  • graphene application support;

  • technical consultation;

  • product development guidance;

  • market evaluations;

  • research updates;

  • partner introductions;

  • commercial support.

 

Schedule C – Tier 3 Industry & Research Membership

Dedicated Support: 30 Hours Per Month

 

Includes:

  • research support;

  • industry intelligence;

  • market updates;

  • technical discussions;

  • product opportunity reviews;

  • access to the Wholesale Graphene network.

 

Entire Agreement

These Terms and Conditions represent the complete agreement between Wholesale Graphene and the Member regarding participation in the Wholesale Graphene Membership Programme.
